The BBA presents live webinars and virtual events via Zoom. Please register for this program through your BBA account at least two hours before the start time of the program to receive the Zoom webinar link.  

Much has been written and discussed about the duties of shareholders/members/partners in close corporations/closely-held companies/partnerships as well as the duties to the entity itself. Much less has been written and discussed about the remedies when wrongdoing is proven. This program will address the issue of remedies with a focus on the following:

  • Types of relief and how they relate to types of wrongdoing
  • Remedies related to disputes concerning employment 
  • Limitations on remedies, with particular focus on Brodie v. Jordan (SJC 2006)
  • Distinctions between harm to corporation/company and harm to shareholder/member/partner
  • When and how a corporation/partnership pay majority’s attorneys’ fees 
  • The benefits and drawbacks of mediation in terms of remedies
