Tax Law for New Lawyers and Business Lawyers – a Primer

"Friday Fundamentals" is the BBA’s weekly educational series designed to offer an introduction to the basic legal skills and fundamental knowledge lawyers need to get a foothold and grow in their understanding of a given area of practice. Advising business clients often requires a basic understanding of tax law.  This program is designed to introduce both new lawyers and experienced non-tax lawyers to the nuts and bolts of tax law.   Our panel of tax experts will discuss the framework and key issues of federal, international and state tax law, as well as ERISA.  The program will help provide you with the tools to understand basic tax issues that commonly arise in business matters and to spot difficult issues that may require additional guidance.

  • Kip Cawley (Foley Hoag LLP) and Andrew Penman (Ropes & Gray LLP) will discuss tax considerations relating to choice of entity and capitalization determinations, including the federal tax treatment of corporate vs. flow-through/disregarded structures (including “check the box” elections), onshore vs. offshore structures, and the use of debt vs. equity to capitalize entities.
  • Taci Darnell (Fidelity Investments) and Casey Dawson (KPMG LLP) will provide a high level overview of how the United States taxes foreign operations of U.S. corporations, why U.S. corporations have $2.5 Trillion of unrepatriated foreign earnings, and how some of the proposals for tax reform seek to address this issue.
  • Rich Call (McDermott Will & Emery) and Dan Chadwick (RSM) will discuss state tax issues for start-ups, focusing on nexus and taxability for sales tax purposes, including taxation of cloud service and digital products, as well as withholding requirements for executives and income tax nexus.
  • Jay Haines (Fidelity Investments) and Brent Lanoue (Ropes & Gray LLP) will provide a high level overview of ERISA and current topics of interest.
