Corporate crises are unavoidable and test the quality of the corporate governance of the affected entities. By taking appropriate steps during each stage of the crisis, Boards of Directors can help their corporations maximize the opportunity and reduce the likelihood, duration, severity and adverse consequences of those crises. The lawyer’s role as strategic and legal advisor to those boards is critical.

This advanced seminar will examine crisis management methodologies employed by counsel in providing legal and strategic advice to Boards of Directors. The program will also cover strategic considerations and legal principles applicable under different crisis situations.

Topics include:

  1. Description of the methodologies
  2. Managing the financial fraud crisis
  3. Working the management succession crisis
  4. Advising the Board during the financial distress crisis
  5. Shepherding the merger or acquisition
